Corporate Paralegal

SUMMARY:

Will assist attorneys in all stages of corporate transactions and with the preparation and filing of documents necessary to comply with federal, state and local regulations in the conduct of business activities.       

ESSENTIAL DUTIES AND RESPONSIBILITIES:

General Corporate Responsibilities

  • Prepare and file formation documents, dissolution documents and qualifications to do business for corporations and LLCs
  • Prepare Corporate Transparency Act (“CTA”) filings with Financial Crimes Enforcement Network
  • Prepare Uniform Commercial Code (“UCC”) financing statements (UCC-1) and continuations/terminations (UCC-3)
  • Obtain Employer Identification Number Applications (“Form SS-4”)
  • Prepare, file, and process corporate Annual Reports and state tax payments
  • Correspond with service agents and vendors, such as Corporation Service Company (“CSC”), regarding various corporate filings
  • Prepare closing binders for corporate transactions

Capital Markets Responsibilities

  • Prepare and file SEC Form IDs
  • Prepare Registration Statements on Form F-6 for unsponsored American Depositary Receipt programs
  • Prepare filings for corporate actions such as Notices of Ratio Change, Notices of Name Change, Amendments to F-6
  • Review and revise ADS Holder QuickCerts
  • Prepare Regulation S and Rule 144A Global Depositary Notes
  • Work closely with SEC and third-party filing agents to prepare and file various securities forms (F-6, F-1, 6-K, Form D)
  • Collaborate with attorneys on voluminous ADR registration statements and proof all work products before submission
  • Assemble and coordinate the notarization, consularization and apostilling of various transaction-related documentation

QUALIFICATIONS, SKILLS AND COMPETENCIES:

  • Bachelor’s Degree required
  • Minimum of 2+ years of experience as a corporate paralegal, preferably in a mid to large sized firm.
  • Proficiency in Microsoft Word, Excel, PowerPoint,
  • Superior proofreading and research skills
  • A flexible problem solver, self-directed, customer service oriented, and collaborative.
  • Strong written and verbal communication skills with all staff levels and backgrounds.
  • Excellent time management, organizational, and communication skills.
  • Ability to multi-task, handle urgent projects and tight deadlines.
  • The ideal candidate will be someone who can maintain confidentiality, exercise discretion and demonstrate solid judgement consistently.

The starting base salary range is $60,000 - $100,000, plus competitive benefits and bonus eligibility.  The base pay actually offered will take into account internal equity and may vary depending on the candidate’s job-related knowledge, skills and experience, among other factors.
